ESI Entertainment sells integrity systems business

Citadel Commerce parent ESI Entertainment Systems Inc. has entered into an agreement to sell substantially all of the assets and undertaking of its ESI Integrity Systems subsidiary to Spectra Systems Corporation for US$1.4m.

Spectra has acquired substantially all of the assets of ESI Integrity, including the name, contracts and resources, for $1.2m in cash upon closing, with a further $0.2m to held in escrow for three months pending any post-closing adjustments.
