Acquisition from NYRA will see Churchill Downs Inc. regain full ownership of United Tote 

Churchill Downs Incorporated (CDI) has entered into an agreement to acquire the New York Racing Association’s 49 per cent stake in United Tote.

The company is buying back the 49 per cent stake that it sold to the New York Racing Association (NYRA) in April 2024, regaining full ownership of the wagering business.

Concurrent with this transaction, NYRA has agreed to extend its tote services agreement with United Tote through 2035.

CDI said the acquisition supports its long-term strategy to own and vertically integrate key technologies and services related to pari-mutuel wagering and horse racing.

The acquisition also strengthens the company’s position as a leading B2B distributor of horse racing content and provider of racing services. 

Headquartered in Louisville, Kentucky, United Tote has served the racing industry since 1959 as a supplier of pari-mutuel wagering products and services, and was acquired by CDI in 2010.

The transaction is expected to close by August 5.

Shares in Churchill Downs Incorporated (NASDAQ:CHDN) closed 0.77 per cent lower at $88.53 per share in New York Wednesday, and were up 0.53 per cent to $89.00 per share in after-hours trading following publication of the company’s results for the second quarter of 2026.
